1. About us
The Tili Safe shop is operated by Tili Safe Training Ltd (“Tili Safe”, “we”, “us” or “our”), a company registered in England and Wales under company number 12938781.
Registered office: Holme House, 12 Bar Road North, Beckingham, Doncaster, England, DN10 4NN. Trading and contact address: Retford Enterprise Centre, Randall Way, Retford, DN22 7GR. VAT registration number: 362 5987 59. Email: support@tilisafe.com.
2. Business customers only
Our shop is intended exclusively for organisations purchasing products and services for business use. By placing an order, the buyer confirms that it is acting for purposes connected with a trade, business, organisation or profession, has authority to place the order and is not purchasing as an individual consumer.
Consumer cancellation rights, including the statutory consumer cooling-off period, do not apply to a genuine business purchase.
3. Products and services
We sell Tili Safe Capture software subscriptions, Tili Safe Workstations and delivery, installation, onboarding and related services where stated. Filming and course-production services are supplied under a separate quotation or scope of work.
Product images are illustrative. Minor differences in colour, finish, screen appearance or construction may occur without materially affecting function.
4. Prices and VAT
All prices are in pounds sterling and exclude VAT unless stated otherwise. VAT will be added at the applicable rate. Delivery, installation, filming, course production and other separately scoped services are not included unless expressly stated.
Any unavoidable delivery charge will be displayed before the order is submitted.
5. Orders and acceptance
Submitting an order is an offer to purchase the selected products or services. An order is accepted when we send an order-confirmation email or otherwise confirm acceptance in writing. An automated receipt does not necessarily mean an order has been accepted.
We may decline or cancel an order where a product is unavailable, information contains an obvious error, payment cannot be authorised, the location is unsuitable, fraud or unauthorised use is suspected, or the order does not meet our business-customer requirements. If we cancel after payment, we will refund the cancelled item.
6. Payment
Payment is due at checkout unless different terms are agreed in writing. The customer must provide complete and accurate billing information.
We may suspend software access, withhold delivery or pause services where an undisputed payment is overdue. The customer is responsible for charges imposed by its own bank, payment provider or currency service.
7. Software subscriptions
A subscription begins on the activation date shown in the order confirmation and continues for the monthly or annual billing period selected at checkout.
Unless the order states otherwise, subscriptions renew automatically for successive periods of the same length using the agreed payment method. The customer can prevent the next renewal by emailing support@tilisafe.com before the renewal date. Cancellation stops future renewal but does not normally create a refund for the current subscription period.
We will give reasonable notice of a material price change before it applies to a renewal.
Permitted use
The subscription grants a limited, non-exclusive, non-transferable and revocable right to use the Tili Safe platform for the customer’s internal business purposes during the paid period.
The customer must not:
- Sell, sublicense or provide the platform to an unauthorised third party.
- Copy, reverse-engineer, decompile or attempt to obtain source code.
- Circumvent user, site, security or subscription restrictions.
- Upload unlawful, infringing, harmful or malicious material.
- Interfere with platform security, availability or operation.
- Share login details where individual accounts are required.
- Use the platform to develop or assist a competing product.
The customer is responsible for its users, account security and the accuracy and lawfulness of information uploaded to the platform.
8. Availability, maintenance and changes
We aim to keep the platform available and reliable but do not guarantee uninterrupted or error-free access unless a separate service-level agreement has been agreed.
Access may be interrupted for planned maintenance, emergency repairs, security work, updates, events outside our reasonable control, or failures affecting hosting, internet or third-party providers.
We may update the platform where this does not materially reduce its principal functionality. Material changes will be communicated where reasonably practicable.
9. Customer content
The customer retains ownership of its procedures, documents, videos, logos and other supplied material. The customer grants Tili Safe a limited licence to host, copy, process, display and adapt that material only as necessary to provide, secure, maintain and support the contracted services.
The customer confirms that it has all rights, permissions and consents required for supplied material, including permissions from people appearing in photographs or videos. We will not use customer-specific training content for unrelated marketing without permission.
10. Data protection
Each party must comply with applicable UK data-protection law. Where Tili Safe processes employee, contractor or learner data for the customer, the customer will normally act as controller and Tili Safe as processor. Processing will be governed by our Data Processing Agreement.
The customer is responsible for providing privacy information to users, establishing a lawful basis, ensuring uploaded data is relevant and lawful, managing permissions and responding appropriately to employment, safety and training-record obligations.
11. Workstation requirements
A Tili Safe Workstation requires an active compatible subscription unless otherwise agreed in writing. Before ordering, the customer must check that the location has suitable space, safe access, power, connectivity, protection from vehicles and environmental hazards, and any required fixing permissions.
The customer must not move, modify, open, repair or interfere with a workstation without written approval.
12. Delivery
Delivery times are estimates unless expressly guaranteed in writing. The customer must provide an accessible address, suitable contact, safe unloading arrangements and advance notice of restrictions.
Risk of loss or damage passes on delivery. Ownership passes only after full cleared payment. The customer should inspect the packaging and product on delivery and record visible transit damage with the carrier where possible.
13. Installation
Installation is included only where stated in the order. The customer must ensure that the site is ready, safe and accessible on the agreed date.
Additional charges may apply where installation cannot proceed because the location differs materially from supplied information, the site is unsafe or inaccessible, power or connectivity is unavailable, extra equipment or travel is required, or the customer postpones at short notice. We may refuse installation at an unsafe or unsuitable location.
14. Returns and cancellations
Because the shop is for business customers, products cannot be returned merely because the customer has changed its mind unless we agree otherwise in writing.
Workstations are prepared, configured or allocated for individual business orders. Once preparation starts, an order cannot normally be cancelled or returned unless the workstation is faulty, damaged on delivery or materially different from its description.
If we agree to accept a non-faulty return, prior written authorisation is required; the product must be unused, complete and in its original condition; the customer bears secure return transport and insurance; original delivery, installation, configuration and collection charges are not refundable; and reasonable inspection, repair, repackaging or restocking costs may be deducted.
Subscription fees are not normally refundable after access is activated. Cancellation prevents the next renewal but does not normally produce a full or partial refund for the current period. If a material platform failure cannot be remedied within a reasonable period, we may provide an appropriate service credit or refund for the affected period.
Deposits and charges for filming, production, installation or scheduled work may be non-refundable once work, purchasing, travel or planning begins. Any cancellation charge will reflect completed work, committed third-party costs and losses reasonably caused by cancellation.
15. Faulty or damaged products
Visible delivery damage should be reported within two business days, missing items within five business days, and other suspected faults as soon as reasonably practicable. Email support@tilisafe.com with the order number, description, photographs or video, serial number and relevant troubleshooting information.
We may inspect remotely or on site. Where a product is confirmed to have been faulty when supplied, we may repair it, replace the affected part or product, or provide an appropriate refund.
- We are not responsible for faults caused by misuse, neglect or accidental damage.
- Unauthorised movement, alteration or repair is excluded.
- Unsuitable power, networking or environmental conditions are excluded.
- Normal wear and tear is excluded.
- Failure to follow instructions is excluded.
- Damage caused by vehicles, machinery, water, heat or third parties is excluded.
Nothing in these terms excludes rights that cannot lawfully be excluded in a business contract.
16. Training and compliance responsibilities
Tili Safe provides tools for creating, delivering, recording and reporting training. The platform and its content do not replace the customer’s responsibility to conduct risk assessments, maintain safe systems, provide legally required training, ensure competent supervision and practical assessment, maintain equipment, verify training accuracy and comply with applicable law.
Course completion or a certificate does not, by itself, guarantee competence or legal compliance. Customers must review and approve site-specific procedures and training content before launch.
17. Intellectual property
Tili Safe and its licensors retain ownership of the platform, software, platform design, functionality, templates, production methods, technical systems, branding and general material created independently of customer content. No intellectual-property rights transfer except for the limited subscription right of use.
18. Confidentiality
Each party must protect the other’s confidential information and use it only for the contracted purpose. This does not apply to information already public without breach, lawfully known before disclosure, lawfully received elsewhere, or required to be disclosed by law or a competent authority.
19. Liability
Nothing limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot lawfully be limited.
Subject to that, neither party is liable for indirect or consequential loss. Tili Safe is not liable for lost profit, revenue, opportunity, goodwill or anticipated savings, or loss caused by inaccurate customer content, unsafe procedures, unauthorised account use or failure to maintain appropriate backups or safety controls.
Tili Safe’s total aggregate liability arising from an order will not exceed the amount paid or payable under that order during the 12 months preceding the event giving rise to the claim.
20. Suspension and termination
We may suspend or terminate access where an undisputed payment remains overdue, the platform is used unlawfully or in breach, use creates a material risk, the customer becomes insolvent, or suspension is legally required. Where reasonably possible, notice and an opportunity to remedy will be provided.
On termination, the right to use the platform ends, outstanding charges remain payable, confidential information must be handled appropriately, and customer data will be processed according to the Data Processing Agreement and retention policy. Customers should export required records before access ends.
21. Events outside our control
Neither party is responsible for delay or failure caused by events outside reasonable control, including major internet failures, industrial action, natural disaster, fire, flood, epidemic, government action, supply-chain disruption or failure of essential third-party infrastructure. This does not excuse payment already due.
22. Changes to these terms
The terms applying to an order are those accepted when it is placed. We may update website terms for future orders. For continuing subscriptions, reasonable notice will be given before a material change takes effect.
23. Governing law
These terms and related disputes are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction unless another dispute-resolution process is agreed in writing.
